Version 2.3. Prepared October 17, 2026; effective on the date of publication on the website. Version 2.2 was in effect from October 16, 2026, version 2.1 was in effect from October 6, 2026, version 2.0 was in effect from October 5, 2026, version 1.1 from September 14, 2026, and version 1.0 from September 8, 2026.
Summary
This is a short summary. The full text follows below. A Russian version is at businessinteldna.com/terms; the version in the language in which you accepted these terms applies to you (section 15.6).
- Provider: Wealthboosterpro LLC (DBA Business Intelligence DNA), 5830 E 2nd St Ste 7000, Casper, WY 82609, USA. Contact: support@businessinteldna.com. Governing law: Wyoming.
- Services and prices (three products): (1) Vera, an AI receptionist and sales rep for inbound calls. Stage one, the Receptionist: $1,000 setup + $199/month subscription (1,000 minutes and 1 hour of edits a month); replies to website inquiries and Google review requests are included at no extra charge. Stage two, the Sales Rep: $1,500 on top of setup, then $399/month (1,500 minutes and 2 hours of edits a month). At checkout you pay the setup fee only; the subscription is first charged on the day Vera goes live and then renews automatically every month. Cancel at any time at businessinteldna.com/cancel (no questions asked; a reason is optional) or by one email. Extra minutes: $0.25 per minute. (2) AI Visibility: $1,500 per quarter, one payment upfront, no auto-renewal; the quarter is a $500 deep-dive diagnostic (week one) plus $1,000 of 90-day work; full $1,500 refund if our 48-hour entry screen shows the case cannot be solved; $1,000 refund (or a free next quarter, at your choice) if, at the day-90 measurement, no AI engine names you consistently (we count it ourselves; no proof or form needed); optional renewal $750 per quarter. (3) Deep Diagnostic: $500 once, free with Vera, inside the $1,500 package in a visibility quarter; an optional call to discuss the results. Extra work only at a price agreed in advance.
- Acceptance: by ticking the checkbox on the payment page, or by written acceptance of an invoice.
- Medical and dental practices: we only work with practices that do not conduct electronic insurance transactions (not HIPAA covered entities), until we have a signed business associate agreement (section 3.4.11).
- No guarantee of business results. Process guarantee for AI employees: if the agent contradicts the agent passport you approved, says something it is prohibited from saying, fails a required action, or fails technically on our side, we fix it within 2 business days; if the same error repeats after two fixes within the first 14 days after go-live, we refund the setup fee. In addition, as promised on our site: if the agent stops taking calls, or makes three or more errors within 7 days, we switch it off the same business day and that month is not billed. Subscription fees for months in which the service worked are not refunded; before the setup period starts, the setup fee is refunded in full.
- Liability cap: the amount paid for the service in dispute; for AI employees, the setup fee plus 3 months of subscription. For a negligent breach of confidentiality, three times that cap. No liability for indirect losses. No implied warranties (section 8.8).
- Calls: callers are told at the start that they are speaking with a virtual assistant and that the call is saved as a text transcript and processed with AI. Audio is not stored. Vera does not take card numbers by voice, makes no outbound calls or texts (the one exception: a single SMS with a link that Vera sends to the caller at the caller’s request during the call, after the carrier has approved the campaign), and is not an emergency service. We process your callers’ data on your behalf, as your service provider (section 9.17).
- Confidentiality: we work under NDA; we do not need access to your bank accounts, payment data or customer database. Connecting Vera to your CRM is part of setup and is done at your choice: you give us an intake address or a token, and we only write call records into it; we do not read data from your CRM.
Last updated: October 17, 2026, version 2.3. What changed from version 2.2: the $1,500 visibility quarter is split into the deep-dive diagnostic ($500, week one) and 90 days of work ($1,000); an entry check in the first 48 hours was added, with a full $1,500 refund if the case cannot be solved; the day-ninety refund condition applies to the $1,000 (a refund or a free next quarter, at your choice); your 30-minute part is stated; the diagnostic inside a quarter is no longer called a gift (sections 3.2.6, 3.3.2, 3.3.3, 3.3.6, 3.3.7, 4.5, 7.5).
Previous update: October 16, 2026, version 2.2. What changed from version 2.1: the setup deadline for an AI employee is within 24 hours of our receiving the signed truth sheet; the “a month on us” promise for missing the setup deadline has been withdrawn; connecting to your CRM is part of setup; an SMS with a link is sent at the caller’s request (section 3.4.12); the setup deadline is in sections 3.4.5 and 6.3.1, and the time while the text or the test-run result is with the client for approval does not count toward the deadline; connecting to your CRM is in sections 3.4.5 and 9.10.
Previous update: October 6, 2026, version 2.1. What changed from version 2.0: at checkout for Vera you pay only the setup fee, and the subscription is first charged on the day Vera goes live (sections 3.4.6 and 4.8); for AI Visibility, we removed the promise to refund money for what cannot be fixed (section 3.3.6); you can cancel the subscription at businessinteldna.com/cancel, no questions asked (section 3.4.6); the promise “we switch it off the same day and don’t bill that month” applies to serious cases (section 3.4.10); we clarified which medical practices we take on (section 3.4.11); we added what Vera does not do (section 3.4.12), a disclaimer of implied warranties (section 8.8), and processing of your customers’ data on your behalf (section 9.17); the cap for a negligent leak is now three times the cap in section 12.1 instead of $25,000; explanations given by email do not change the terms (section 15.9); a full English text was added, binding on those who accepted the terms in English (section 15.6).
Previous update: October 3, 2026, version 2.0. What changed from version 1.1: the terms for our three products (Vera, AI Visibility and the Deep Diagnostic) were aligned with what the product pages say; replies to website inquiries and Google reviews were expressly included in Vera (section 3.4.1); terms for AI Visibility were added: the quarter, the two measurements, and the refund condition (section 3.3); the diagnostic comes free with Vera and with a visibility quarter, and the call to discuss its results is optional; the promises from Vera’s page were written down (a month on us if go-live is missed; “if it breaks, we switch it off the same day and don’t bill that month,” section 3.4.10); we removed what is no longer on the site: implementation based on a quote, the “free in exchange for a review” offer for our first clients, and the long session after the diagnostic. Anyone who accepted version 1.0 or 1.1 remains under the version they accepted (section 15.7).
Governed by the laws of the State of Wyoming, USA.
0. How to read this document
These are the terms on which we work. They become a contract between you and us at the moment you tick the “I accept the terms” checkbox and pay for a service, or accept them by email in reply to an invoice (section 2.1).
We wrote them in plain words. If any section is unclear, email support@businessinteldna.com before you pay and we will explain it. An explanation helps you understand a section but does not change it; sections 15.7 and 15.9 describe how the terms change.
Two other documents sit alongside this one:
- Privacy Policy: businessinteldna.com/en/privacy. It covers what technically happens to your data: who sees it, where it is stored, how long it is kept, and how to delete it.
- Non-Disclosure Agreement (NDA): a separate document for signature (businessinteldna.com/en/nda). Not everyone needs it: section 9 of these terms applies automatically, without a signature. We will send a signed NDA to anyone who needs one for their own internal procedures.
Terms used often below:
- We, the Provider: Wealthboosterpro LLC (DBA Business Intelligence DNA), a limited liability company organized in the State of Wyoming, USA.
- You, the Client: the person or company that has accepted these terms.
- Vera (also referred to below as the “per-unit AI employee”): our voice AI receptionist for inbound calls and everything included with it (section 3.4).
- Diagnostic: an analysis of your business and a document; a call to discuss the results is optional (section 3.2). It is paid; it comes free with Vera, and inside a visibility quarter it is part of the $1,500 package ($500 + $1,000, section 3.3.2).
- AI Visibility: a quarter of work so that AI engines can name your business (section 3.3).
- Vera’s stages: RECEPTIONIST (“Vera answers” on our site) and SALES REP (“Vera sells”); stage two is the same employee with a broader task, section 3.4.
- Agent passport: a written document you approve before the employee goes live: how it greets callers, what facts it gives, what it must do, and what it must not say (section 3.4.4). On Vera’s pages its parts are called the “truth sheet” (facts, hours, prohibitions: you fill it in and sign it) and the “employee script” (how it speaks: we write it, you edit and approve it).
- Go-live: the day on which the agent passport and the results of the test calls have been approved (section 6.3.1) and we have notified you in writing that the employee is ready to take calls on your line. If you set up call forwarding from your number later, that does not move the go-live date.
- Subscription: the monthly fee for the work of a live employee (section 3.4.6).
- Transcript: the text of a conversation, saved after each call to the employee.
- Questionnaire: a 68-question form you fill in after paying for the diagnostic.
- Business day: Monday through Friday, excluding U.S. federal holidays.
1. The parties
1.1. Services are provided by Wealthboosterpro LLC (DBA Business Intelligence DNA), organized in the State of Wyoming, USA. Registered address: 5830 E 2nd St Ste 7000, Casper, WY 82609, USA. Email for all notices and inquiries: support@businessinteldna.com. Website: businessinteldna.com.
1.2. Who exactly works with you. The diagnostic and the call to discuss its results are handled personally by the two of us: Andrii Zhyla (strategy and positioning) and Maryna Zhyla (business economics, former CFO). That is what the diagnostic page says: you will work with the two of us, not with a department or a contractor. We do not hand off the analysis of your business or our conversation with you to anyone.
When setting up Vera and for AI Visibility (for example, when we build a new website), we may bring in a contractor for technical work such as page layout or platform configuration. We tell you about each such person in advance, they are bound by the same duty of confidentiality (section 9), and we are responsible to you for everything they do.
1.3. You confirm that you are ordering the services for your business or professional practice, not for personal, family or household purposes. This is a business contract between two parties, each running its own business.
1.4. If you accept these terms on behalf of a company, you confirm that you are authorized to do so. In that case, “you” in this document means both you and that company.
2. How the contract is formed
2.1. The contract is formed when both of the following have happened:
- you have ticked the checkbox confirming that you accept the Terms of Service and the Privacy Policy, which is shown on the Stripe payment page; and
- the payment has gone through. A diagnostic that comes free with Vera, or is included in a visibility quarter, is not paid for separately and is set up together with that payment.
From that moment the terms bind both parties.
For the per-unit AI employee (section 3.4), payment may be made by invoice instead of through the page with the checkbox. In that case the first condition is met as follows: we email you an invoice with a link to these terms and their version number, and you reply in writing that you accept them. The version stated in the invoice applies to you. Your reply is kept in place of the checkbox record described in section 2.2.
2.2. Ticking the checkbox is equivalent to your signature. This is permitted by the U.S. federal Electronic Signatures in Global and National Commerce Act (E-SIGN Act) and the Wyoming Uniform Electronic Transactions Act.
A record is kept together with the checkbox: the date and time, the payment it relates to, and the acceptance mark itself; Stripe, the payment system, stores it. The version of the terms is the one published on the website at that moment; we keep an archive of versions (section 15.8). We will show you a copy of this record on request.
2.3. Free tools. You get the free visibility check and the Work List (while it remains available on the site, section 3.1) without a contract: no checkbox, no money, no obligations. Only two rules from this document apply to them. First, we have no monetary liability for them: they are free and machine-generated (section 12.1). Second, we do not tell anyone what you wrote in those forms. Everything else here concerns the paid products.
2.4. Nothing in this contract creates a partnership, joint venture or employment relationship. We are an independent contractor.
3. What we do: three products
We have three products: Vera (section 3.4), AI Visibility (section 3.3) and the Deep Diagnostic (section 3.2). Each can be purchased separately, and none obliges you to buy another. The diagnostic comes free with Vera and with a visibility quarter. Free tools are covered in section 3.1.
3.1. Free tools
3.1.1. Visibility check. On the visibility page you enter a couple of words (what you do and in which city), and we ask three AI engines the question your customer would ask, three times each. You see the first result on screen, and the rest of the analysis arrives by email. It is free, with no card and no call. If you are on the list and rank high, we will say so.
3.1.2. Work List. While it remains available on the site, you answer three questions about your business, and artificial intelligence builds a work list from your answers in a minute or two. We do not hide this; it says so on the page itself. The list is not a consultation and not an expert-reviewed document, but a rough draft to give you a starting point.
3.1.3. The result is yours unconditionally. You keep it even if you go no further with us.
3.1.4. We need your email only to send you the result and to have a way to reach you. We do not send newsletters. We do not sell or share contact lists with anyone.
3.2. Deep Diagnostic. $500 one time; free with Vera; inside the $1,500 package in a visibility quarter
3.2.1. This is a separate product that you can buy without Vera and without AI Visibility. After payment you fill in the questionnaire; we spend three business days analyzing your market and your answers and then deliver a document to you. If you want to talk the results through together, book a call; it is optional.
3.2.2. You receive:
- Your business (or practice) DNA: what sets you apart, in one sentence that works both on your website and in a live conversation, plus the core logic: what your product consists of and in what order it delivers results. On our site we honestly call this a draft: it is a working version you can build on, not a final brand book.
- Your client DNA: a portrait of your customer in their own words: what they really pay for, what they fear, and what objections they raise.
- Gap map: exactly where you are losing clients, ranked by priority rather than listed, and which lever to pull first.
- Competitor review: we ourselves look at 2–3 of your neighbors in your niche using publicly available sources: what they show that you do not, and where your blind spot is.
- Three AI growth points: exactly three places where AI gives you money or time, tied to your losses.
- Document (PDF): everything listed above, formatted. You keep it even if you go no further with us.
- Optional results call, 30 minutes, at a time that suits you from the open slots. The document arrives before the call: we analyze, we don’t pitch. If you don’t book a call, the document loses nothing.
- Call recording: only if you agree to let us record the call; the recording is yours (section 3.2.3).
3.2.3. Call recording. If you book a results call, we may record it so that you can watch it again and we don’t have to ask you to repeat things. The rule is simple:
- In the first minute of the call we ask out loud whether we may record, and your answer stays in the recording itself.
- Recording starts only after you say “yes.” If you say “no,” we do not record, and that has no effect on the substance of the call.
- If anyone else from your side will be on the call, let us know in advance: we will ask for their consent as well. In some U.S. states recording a conversation is lawful only with the consent of all participants, and we follow that rule.
- The recording is yours. We give you the file, keep it confidential under section 9, and show it to no one without your written consent. At your request we delete it within 30 days.
- The call takes place on Zoom; the recording is made locally, on the Provider’s computer. What the service itself receives is described in the Privacy Policy.
3.2.4. We may leave out of the analysis anything that turns out not to apply to you. If there is nothing to differentiate you, or AI does not pay off for you right now, we will say so directly. Such an answer is also performance of the contract: you are paying for an honest analysis, not for us to stretch conclusions and sell you the next step.
3.2.5. The diagnostic does not include: the full research base, a personal AI assistant for your business (“Ask Your Business”), implementation of AI solutions, or a website. Those are different jobs: Vera and AI Visibility are purchased separately.
3.2.6. The diagnostic with Vera and in a visibility quarter. With Vera the diagnostic comes free: the scope is the same (section 3.2.2), the questionnaire opens after you pay for the product, and the diagnostic is not paid for separately. In a visibility quarter it is part of the $1,500 package: $500 is the deep-dive business diagnostic and Fact Sheet, $1,000 is 90 days of AI visibility work (section 3.3.2). For the diagnostic inside a quarter, a short 10-minute prompt sheet arrives after payment (or we capture your answers on a voice call); the visibility work itself has no questionnaire. Only one diagnostic is provided, no matter how many products you take. If you already bought a diagnostic separately, this does not apply retroactively. If you got a refund on a product under section 7 and the diagnostic had already started by then (section 6.1), you keep the document and nobody will ask you to pay for it.
3.3. AI Visibility. $1,500 per quarter
3.3.1. What it is. A quarter of work aimed at getting ChatGPT and other AI engines to name your business when a customer asks whom to go to. The work rests on two measurements: on day zero and on day ninety. Between them is the work on platforms, pages and third-party directories.
3.3.2. What the quarter includes.
- Two measurements. Before the start, we write three to five of your customer’s questions together with you, and the list is frozen. On day zero and on day ninety we run these questions through three AI engines, seven runs on each, in the exact phrasing your local buyers use (English and, where your buyers are Russian-speaking, Russian as well), and save all the answers. You receive a line-by-line comparison between the measurements with the saved answers, without our interpretation. We email you a draft list of questions within an hour of payment.
- Platforms. We make your business information consistent across the main platforms and industry directories, remove dead listings, and separate you from a business you are confused with.
- Pages. We rewrite the pages of your website the way customers ask: the city in the heading, the price or price range in text, answers to frequently asked questions, reviews in text.
- Third-party directories. We find the places that AI engines cite more often than your website and push for incorrect information there to be corrected.
- Website: under section 3.3.5.
- At no extra charge, within the same quarter: a check of whether your server lets AI engine crawlers in, and opening access if it is closed (with a before-and-after record); a fact passport about you, twenty-five statements, including “who we get confused with”; a one-page edit list for your webmaster; up to two edits a month when something changes on your side (price, address, service, hours); an unscheduled edit if a new falsehood appears in mid-quarter.
- Inside the $1,500 package: a deep-dive business diagnostic and Fact Sheet ($500, section 3.2.6), delivered in week one; the other $1,000 is 90 days of work under items 1–6.
3.3.3. Refund condition. The $1,500 quarter has two parts, and each has its own refund condition. Step 0, the first 48 hours before diagnostic work begins. If our entry screen shows the case cannot be solved (for example, a permanently suspended listing or a market with no formed demand), we do not start the engagement and refund the full $1,500. Part 1, week one ($500). You receive the finished deep-dive business diagnostic PDF and the Fact Sheet; they stay yours forever. Once the PDF is delivered, this part is complete and is not refunded separately. Part 2, day ninety ($1,000 — backed by the result guarantee). We consider a name consistently named if it appears in at least four out of seven runs within a single “question, language, engine” combination. One to three runs out of seven is a flicker: it goes into the report but does not count as a result either way. If on day ninety you are not consistently named in any combination, we refund the $1,000 or, at your choice, work the following quarter at no charge until you are named. We do the count ourselves, using the same frozen questions and the same number of runs as on day zero. You do not need to fill in a form, send proof or explain the reason. The refund is made by the same method you paid with, within 5 business days from the day we send you the report of the second measurement. The guarantee applies together with your part in section 3.3.7.
3.3.4. Term. Ninety days is the term of our work, not a promise of when clients will come. The count starts on the day you approve the list of questions, not on the day of payment (section 6.3.2). If we have not delivered the second measurement on day ninety, the next quarter is free: a full quarter on the same terms (sections 3.3.2–3.3.4), starting on your written “yes.” If instead you demand a refund under section 7.6, you choose one or the other: the two do not combine.
3.3.5. The website: your call. AI Visibility depends on your website, so with your consent we review it. If the site is suitable, we improve it; if it is not, we build a new one that AI engines can read. If you have your own developer, we do not touch the site: your developer gets a one-page edit list, in their terms, and no access is needed. If you have a site but no developer, you either give us access and we make the edits ourselves, or you get the same list and make the edits when convenient. If you have no site or it is not suitable, we build a new one; it is included in the quarter and remains yours. We do not touch your old site without your say-so. In none of these cases do we ask for access to your money, bank accounts or customer database.
3.3.6. What cannot be fixed. Some incorrect information is built into a model during training and no one can influence it; some is tied to a permanently blocked listing. We screen for these in the first 48 hours, before diagnostic work begins, and tell you plainly by email; if the case cannot be solved because of them, step 0 of section 3.3.3 applies and we refund the full $1,500. If we take on the work, the quarter goes into what can be fixed; there is no separate refund for what cannot be fixed.
3.3.7. Your part (about 30 minutes for the whole quarter). Approve the list of questions by email (once per quarter); add us as a manager of your Google Business Profile (access can be removed with one click at any time); within the first 21 days, either have your developer apply our edit list or let us apply it (section 3.3.5). The visibility work itself has no questionnaire; for the diagnostic inside the quarter, a short 10-minute prompt sheet arrives (section 3.2.6).
3.3.8. Renewal, and what we do not promise. There is no automatic renewal. Renewal is optional, at $750 per quarter: a new measurement, fixing new falsehoods, and edits when something changes on your side; it is placed as a separate order with a separate payment. A renewal is a new order: the refund condition in section 3.3.3 and the free diagnostic apply to it only if we expressly say so in the order. We do not promise any percentage, any number of calls, any date by which clients will come, or any specific position in AI engines’ answers: we do not control other companies’ platforms (section 8.4). We promise the term of our work (section 3.3.4) and the refund condition (section 3.3.3).
3.4. Vera, the per-unit AI employee: Receptionist and Sales Rep
3.4.1. What it is. If you know where it hurts (for example, there is no one to answer the phone), you can skip the diagnostic and get Vera: she works as an employee for inbound calls.
- RECEPTIONIST: a voice agent for inbound calls. It answers callers 24/7, including holidays, according to your agent passport, finds out who is calling and why, books the caller into your calendar (checks open slots and creates the appointment), and emails you a summary after each call. At the caller’s request it transfers the call to a person, at the number stated in the passport.
- SALES REP: the second stage of the same Receptionist, not a second agent. It is the same employee, but its task is to move the caller to the next step (an appointment, a meeting or a payment) and to follow up by email with those who have not decided; such emails go only to people who left their email address themselves, and include the sender’s address and a way to opt out. The Sales Rep cannot be set up without the Receptionist.
At no extra charge, within the setup fee and the subscription, Vera also includes two more services:
- REPLIES TO WEBSITE INQUIRIES. When someone leaves their email in a form on your website, within a minute they receive an email in your business’s name: your prices for what they were interested in and a link where they choose a time themselves. You receive a copy. It works at night and on weekends too. For this to work, the form on your website must pass the inquiry to us; how to connect it is described in the agent passport (section 3.4.4).
- GOOGLE REVIEWS. After a visit, everyone who left an email address receives one email asking them to write a Google review (and one reminder, if you choose that in the agent passport). We notify you of a negative review within a day and prepare a draft reply; you publish the reply. For this, you give us a link to your Google Business Profile and visit data (name, email, date), or we take it from the appointments Vera keeps.
How we handle them: the review request goes to everyone who left an email address, without filtering by whether the person is satisfied; we do not write reviews for people, do not offer them rewards for reviews, and do not publish replies to reviews in your name. Each such email contains your business’s name and postal address and a way to opt out of further emails; we honor an opt-out within 10 business days at the latest and do not email those who opted out again. The texts of these emails are part of the agent passport and are approved by you the same way as everything else in it. We do not promise how many reviews will come in or what your rating will be. These two services are not covered by the process guarantee in section 3.4.8, which applies to calls. We fix errors in them free of charge within 2 business days, and they do not use up the hour of edits.
3.4.2. When we set up without a diagnostic. The Receptionist: when there is enough to put in the agent passport (your prices, hours, addresses and services). We set up the Sales Rep without a Deep Diagnostic only if you provide a full script in writing: price list, answers to objections, prohibitions. If there is no script, the Deep Diagnostic comes first (section 3.2). After it, we build the script for the Sales Rep’s passport (answers to objections and prohibitions) from the diagnostic’s findings, using your price list. This is included in the Sales Rep setup, and you approve the script in writing as part of the passport.
3.4.3. Prices.
| What | Setup | Subscription | What the subscription includes | Overage |
|---|---|---|---|---|
| Receptionist (including inquiry replies and Google reviews) | $1,000 | $199/month | 1,000 minutes of calls and 1 hour of our edits per month | $0.25 per minute |
| Both stages at once | $2,500 | $399/month | 1,500 minutes of calls and 2 hours of our edits per month | $0.25 per minute |
| Both stages, step by step | Receptionist $1,000 now, Sales Rep $1,500 later | $199/month; $399/month from the first payment after the Sales Rep goes live | until that payment, as for the Receptionist; from it, as for both stages | $0.25 per minute |
Our edits beyond the included hour are made only by agreement and at a price we state in advance, before work begins (section 3.4.6).
3.4.4. Agent passport. Before setup, we put together, and you approve in writing, the agent passport. It has five parts:
- how the employee greets callers: the greeting always includes a notice that the caller is speaking with a virtual assistant and that the conversation is saved as a transcript and processed with AI (see below in this section);
- fact list: prices, hours, addresses, services: everything the employee is allowed to state;
- required actions: for example, sending an email, getting the caller’s name and email;
- prohibitions: for example, discounts, timelines, promises. In addition, every passport instructs the employee not to state facts, prices, timelines or promises that are not in the fact list. If it does state such a thing anyway, that is an error we fix free of charge, but not a breach under the process guarantee (section 3.4.8);
- inquiry and review emails: the texts of these emails, in whose name and from which address they are sent, how the form on your website is connected, and what data about people is passed on (section 3.4.1).
For the Sales Rep, the passport also includes the script: price list, answers to objections, prohibitions.
The passport is the standard against which the employee’s work is checked (section 3.4.8). To a question whose answer is not in the passport, the employee must answer “I don’t know; I’ll pass that on.”
The passport can be changed after go-live too: that is an edit within the subscription (section 3.4.6). A new version of the passport becomes the standard for the guarantee from the first business day after we confirm in writing that we have put it in place, but no later than 2 business days after your written approval. If the included hour of edits for that month has been used up and you have not agreed to pay for the edit, the previous version remains the standard.
The employee speaks with your customers on your behalf. Callers have not signed this contract. You are responsible for the facts in the passport being correct and for what the passport promises being deliverable. When your prices, hours, addresses or services change, let us know and we will update the passport.
In the greeting, the employee says that it is a virtual assistant and that the conversation is saved as a transcript and processed with AI. At the caller’s request it transfers the call to a person (section 3.4.1). You see the exact wording in the passport before go-live. We do not remove this part of the greeting even at your request: in some U.S. states a conversation may be saved only with the consent of all participants, and without a transcript there is no way to check the employee’s work.
3.4.5. What the setup includes.
- the agent passport, which you approve in writing before go-live;
- one line: one number to which you forward calls from your own number; your number remains yours, and the employee takes the calls;
- up to two actions during a call, for example booking the caller into your calendar and sending them an email;
- an email to you after each call: seven fields, including any question the employee did not answer;
- thirty test calls before go-live and a test-run report: what was asked, what the employee answered, what we fixed;
- one round of edits before go-live;
- connecting replies to website inquiries and review requests within the agent passport;
- connecting to your CRM, at your choice, through a webhook, Zapier or an integration: you give us an intake address or your CRM’s token, and we only write the call records into it (who called, why, what was promised, a link to the conversation); we do not read data from your CRM and do not do two-way synchronization (section 9.10);
- timeline: within 24 hours of our receiving the signed truth sheet (section 6.3.1).
Anything beyond this (a second line, a third action, another round of edits before go-live, or anything else) is done only if you want it and at a price we state in advance. Without your written “yes” we do not do it and do not charge for it. Our own time overruns (if your work took us longer than we estimated) are never billed to you.
3.4.6. Subscription. The subscription starts on the day Vera goes live, not on the day of payment: at checkout you pay only the setup fee, the first subscription payment is charged automatically on the go-live date, and thereafter monthly in advance on the same day (section 4.8). Until the employee goes live, the subscription does not run, however long setup takes.
- The Receptionist subscription includes 1,000 minutes of calls and 1 hour of our edits per month; the subscription for both stages includes 1,500 minutes and 2 hours of edits. Minutes are counted from the call log on the employee’s line; we will show you the log on request. Unused minutes and edit hours do not carry over to the next month.
- Minutes beyond the limit: $0.25 per minute.
- An edit is a change to what the employee says and how: new facts, different wording, a different order of conversation. Edits beyond the included hour are made only by agreement and at a price we state in advance, before work begins: first we write what we will do, how long it will take and what it will cost, and we begin only after your written “yes.” If it actually takes more than stated, we do not bill the difference. Fixing a breach under the process guarantee (section 3.4.9) is not an edit: it does not use up the hour and is not billed separately. After any edit to the employee’s script, we run the test calls again.
- You may cancel the subscription at any time, without giving a reason, in either of two ways: at businessinteldna.com/cancel (you sign in to your Stripe customer portal with your email, click “Cancel subscription” and confirm; you may give a reason if you wish, but it is optional), or by a single message: an email to support@businessinteldna.com or a reply to any email from us. No form, no call and no reason are needed. Cancellation through the link takes effect immediately; cancellation by message takes effect when we receive it; we send confirmation the same business day. The employee works until the end of the paid month, after which we switch it off and nothing further is charged. The subscription fee for a month that has already started is not refunded, except in the cases in section 3.4.10.
- If a subscription payment fails, we email you and may suspend the employee 3 business days after that email until payment goes through.
- We may change the subscription price only by notifying you by email at least 30 days before the next payment. If you do not agree with the new price, let us know before that payment: the subscription ends as of that payment, and the employee works until the end of the month already paid. The price never changes silently or retroactively (section 15.7).
- There is no separate post-setup support: the subscription takes its place.
- Once a week we email you a check report showing where the employee departed from the passport.
3.4.7. What we do not promise. The employee answers according to the passport. We do not promise how many calls will turn into appointments, meetings or payments: that depends on you, your market and your customers (section 8).
3.4.8. A process guarantee, not a results guarantee. We guarantee that the employee works according to the passport you approved. Only something visible in a call transcript or in the log of calls and actions on the employee’s line (section 3.4.6) counts as a breach:
- the employee stated a fact that contradicts the passport;
- it said something expressly listed in the passport’s prohibitions (section 3.4.4, part 4);
- it failed to perform a required action, for example the person agreed but the email was not sent. An email sent to an address that the employee repeated back to the caller and the caller confirmed counts as sent, even if the address turns out to be wrong;
- a technical failure: the employee goes silent, cuts off the conversation, or does not pick up a call that reached the line. Connection problems on the caller’s side, with your phone carrier, or in call forwarding from your number are not included. A failure of the platform the employee runs on is on our side: for the process guarantee it is excluded neither by section 8.4 nor by section 12.8.
The following is not a breach:
- a question that is not in the passport: “I don’t know; I’ll pass that on” is the correct answer here;
- “I want it to sound different”: that is an edit within the subscription (section 3.4.6);
- voice and intonation;
- results, that is, sales;
- the employee stated something not in the passport that does not contradict it (for example, made up an answer to a question). That is an error, not a breach: we fix it free of charge within 2 business days, it does not use up the hour of edits, and it does not entitle you to a refund of the setup fee.
3.4.9. How the guarantee works.
- You send support@businessinteldna.com the time of the call in which you see a breach. We send the transcript of any call on the line on request within 1 business day.
- We check the call against the transcript and the line log and write to you with what we found, attaching the transcript of that call. If you disagree with our conclusion, the dispute is resolved under section 15.2.
- If there is a breach, we fix it within 2 business days, counting from the first business day after your email. If we have not fixed it within 2 business days, it counts as a fix that did not work.
- If, after two fixes, the same error recurs within the first 14 days after go-live, we refund the setup fee. The subscription is not refunded.
What the terms here mean:
- The same error: the same passport item is breached again by the same type of breach from section 3.4.8; for a technical failure, another technical failure.
- 14 days: calendar days, with the go-live date counted as day one. A recurrence counts if the call in which it happened was within those 14 days.
- Deadline for complaints. We accept complaints about calls from those 14 days until the end of the 21st calendar day from the go-live date from which those 14 days are counted.
- How much we refund. Receptionist: $1,000. Both stages paid at once: $2,500. Step by step: the fee for the part the breach relates to: if the Sales Rep script is breached, $1,500, with the 14 days counted from the Sales Rep’s go-live; anything else, $1,000, with the 14 days counted from the Receptionist’s go-live.
- When. The refund is made by the same method you paid with, within 5 business days from the day we confirm the recurrence in writing.
With a refund of the setup fee, work on that employee ends: it works until the end of the paid subscription month, after which we switch it off. If, under the step-by-step option, the Sales Rep fee is refunded, only the second stage ends: the Receptionist keeps working, and from the next payment the subscription is again $199/month.
The fix under item 3 and the refund of the setup fee under item 4, together with the promises in section 3.4.10, are the only consequences of a breach of the process guarantee. This contract gives no other monetary claims because the employee departed from the passport. Section 12.5 still applies.
3.4.10. Two promises from Vera’s page. They are written down here so there is no dispute about exactly what was promised. The first of them (“If it breaks, we switch it off the same day and don’t bill that month”) is an exception to the rule “the subscription fee for a month that has already started is not refunded” wherever that rule appears in these terms; the second (“Leave freely”) describes how you leave.
- If it breaks, we switch it off the same day and don’t bill that month. This promise covers serious cases, of which there are two: (a) the employee does not pick up calls that reach the line, a technical failure on our side (section 3.4.8, item 4 of the first list); (b) three or more breaches under section 3.4.8 occur within 7 consecutive calendar days. In that case we switch the employee off on the business day we receive your message with the call times (or notice it ourselves, if earlier), route the calls back to you, fix the problem and switch it back on. We send the transcripts within 1 business day (section 3.4.9, item 1). The subscription month in which this happened is not billed: if it has already been paid, we refund it or credit it to the following month. A single breach we fix under section 3.4.9 within 2 business days, without switching the employee off and without refunding the subscription. An answer that is not in the passport but does not contradict it is not a breach (section 3.4.8): we fix it free of charge within 2 business days. This promise works in addition to the process guarantee (section 3.4.9), not instead of it.
- Leave freely. Month to month, with no cancellation window: at businessinteldna.com/cancel or by a single message, with no form and no reason needed (section 3.4.6, item 4). The number remains yours: you remove the forwarding. We give you the complete agent passport (including the truth sheet) and the call transcripts for the last 24 months on request within 5 business days.
3.4.11. Medical and dental practices. We take on practices that are not subject to the federal HIPAA law. The test is simple: the practice itself does not conduct electronic transactions with insurance companies (it does not submit electronic insurance claims, eligibility inquiries and the like; for example, it works only with direct patient payment). For practices that do conduct such transactions, even a patient’s name and appointment time are protected information; we do not take them on until we and our vendors have a signed business associate agreement (BAA). Before payment, you confirm by email that your practice does not conduct such transactions; if that turns out not to be the case, we may terminate the work under section 13.2.
In any practice, Vera only books appointments; she does not discuss treatment and does not ask for health information.
3.4.12. What Vera does not do. She does not call or text anyone in your name; she only takes inbound calls. The one exception: a single SMS with a link that Vera sends to the caller at the caller’s request during the call, after the carrier has approved the campaign. She does not take card numbers or other payment details by voice: if payment is needed, she sends a link. She is not an emergency service: if a caller describes an urgent threat to life or health, she asks them to call 911; this line is in every agent passport.
3.5. Several products together
3.5.1. Products can be purchased together. The price is the sum of the products’ list prices (section 4); there is no quote. Each product works under its own terms in this section, and timelines and refunds (sections 6 and 7) are counted separately for each.
3.5.2. We no longer sell turnkey implementation based on a quote. If you need something beyond our products, we will tell you whether we will take it on and what it costs; without your written “yes” we do not do it and do not charge for it.
4. Prices and payment
4.1. Prices:
| What | How much |
|---|---|
| Deep Diagnostic | $500 one time; free with Vera; inside the $1,500 package in a visibility quarter (section 3.2.6) |
| AI Visibility | $1,500 per quarter in a single upfront payment, no automatic renewal (section 3.3); optional renewal $750 per quarter |
| Vera, stage one: Receptionist (with inquiry replies and Google reviews) | Setup $1,000 + subscription $199/month (1,000 minutes and 1 hour of edits), section 3.4 |
| Vera, both stages | $2,500 at once, or step by step: $1,000 now and $1,500 later; subscription $399/month (1,500 minutes and 2 hours of edits) |
| Minutes beyond the subscription limit | $0.25 per minute |
| Our edits beyond the hour included in the subscription | only by agreement and at a price stated in advance, before work begins |
| Free tools (visibility check, Work List) | Free |
All amounts are in U.S. dollars.
4.2. The diagnostic and AI Visibility are paid in full before work begins; Vera is paid with the setup fee, and the subscription starts on the go-live date (section 4.8); payment is by card through Stripe. Card details pass through Stripe and never reach us: we neither see nor store them.
4.3. AI Visibility is paid in a single payment for the quarter in advance: no setup, no processing fee, and no automatic renewal. A renewal is a separate order and a separate payment (section 3.3.8).
4.4. Prices do not include taxes and fees, if any turn out to apply. Your bank’s or payment provider’s fees are yours to pay.
4.5. The diagnostic with Vera and in a visibility quarter. With Vera the diagnostic comes free: you do not pay for it separately, and there is nothing to credit. In a visibility quarter it is part of the $1,500 package ($500 + $1,000, section 3.3.2). On its own it costs $500 (section 3.2.6).
4.6. There is no annual contract. The diagnostic and AI Visibility do not renew automatically, and those payments are not charged again on their own. The only recurring payment is the subscription for the per-unit AI employee (section 3.4.6). It is charged automatically to the card you provided at payment: first on the go-live date, then once a month until you cancel it. You can cancel at any time at businessinteldna.com/cancel or by a single message (section 3.4.6, item 4). If a charge fails, we email you and may suspend the employee (section 3.4.6.5).
4.7. If you have a question about a payment, email support@businessinteldna.com before disputing the charge with your bank. We reply within 3 business days and try to resolve the matter without a dispute. Any refund is still made under section 7; this sentence does not create a separate right to a refund. Disputing a charge without going through us does not override section 7 either.
4.8. Per-unit AI employee. The setup fee is paid in full before work begins. Under the step-by-step option, the Sales Rep fee of $1,500 is paid when you decide to add it. The subscription is paid monthly in advance. At checkout you pay only the setup fee: $1,000 (both stages at once, $2,500). The subscription is first charged automatically on the go-live date: $199 (both stages, $399), and then on the same day each month. No subscription is charged before go-live, however long setup takes: until that day the payment system holds a deferred subscription start, and we remove it on the go-live date. Under the step-by-step option, the $399 subscription applies from the first payment after the Sales Rep goes live; until that payment, the Receptionist’s price and limits apply: $199, 1,000 minutes and 1 hour of edits. Minutes beyond the limit and edit hours agreed in advance are added to the next subscription payment as a separate line item. The free diagnostic comes with payment of the setup fee (section 3.2.6).
5. Case studies and testimonials about us: only with your consent
This is not a payment or an exchange: we ask for nothing from you in return for our work. Below is what each party owes if you yourself want us to talk about our work with you.
5.1. After the work is finished, we may once invite you (and remind you once) to leave a short testimonial and allow us to tell your story. Consent is optional: the paid work, the free diagnostic and refunds do not depend on it.
5.2. What we ask for. Once, and only if you don’t mind: a short testimonial, in your own words, in text or on video, whichever you prefer, and permission to tell your story on the terms of section 5.3.
5.3. What you decide, not us.
- We publish a case study only with your written consent and only in the form you have approved. An email or message saying “yes” counts as written. Silence does not count as consent.
- You decide what may and may not be named. Your name, company name, niche, city, any numbers, screenshots: each goes into the case study only if you have expressly allowed it. You can allow the story anonymously (“a dental practice in Florida”) and forbid your name.
- We show you the final text and images before publication.
- You can withdraw consent at any time. We then take the case study down from our channels within 10 business days and do not use it in new materials. Anything we published while consent was in effect does not become a breach retroactively, but we will take it down. We cannot remove it from other people’s reposts or search engine caches and do not promise to.
- We may publish a testimonial you gave in full or in shortened form, without distorting its meaning.
5.4. Disclosure required by law. If you received anything for a testimonial or case study (a discount, free work, a gift), we state this clearly next to the publication. The U.S. Federal Trade Commission’s rules on endorsements (FTC Endorsement Guides) require this. You see the disclosure wording together with the case study text before publication.
5.5. If there is no testimonial. We will ask once and remind you once. Then we stop: nothing changes, we will not demand money, we will not take back our work; the document and everything else remain yours. We simply do not get the right to tell your story in that case.
5.6. Your trade secrets do not go into a case study: section 9 applies here too. Consent to a case study is the only exception to the duty of confidentiality, and you set its limits.
6. Timelines and when they start
This is the section people argue about most often, so it is written in more detail than the rest.
6.1. When work starts and when it ends. One definition for all our documents; the same one appears in the NDA, and the Privacy Policy relies on it.
- Work has started on the diagnostic at the moment we receive your completed questionnaire. The time of receipt is recorded by the system that accepts forms on the website, and we can show it to you.
- No later than the next business day, we send you a “We’re on it” email. This email confirms the start time; it does not create it: if the email is delayed or lost, work is still considered started from the moment the questionnaire was received.
- Work has ended on the day we deliver the last document for your project. For the diagnostic, that is the day the PDF is sent (the results call may come later; that does not change the date). For AI Visibility, it is the day we send the report of the second measurement.
- If work never started, all timelines in this contract are counted from the date of payment.
- AI Visibility. Work has started on the day you approve the list of questions in writing; we keep the approval email. Until then we do not measure or edit anything.
- Per-unit AI employee. Work has started at the moment the setup period begins to run (section 6.3.1). Work has ended on the day the employee is switched off.
6.2. Diagnostic: 3 business days.
6.2.1. The period runs not from payment but from a complete questionnaire: from the first business day following the day work started (section 6.1). This is the same rule described on the website: payment, then the questionnaire, then we go away and work for three business days.
6.2.2. The questionnaire is complete when it contains substantive answers to all the required questions (those marked as required in the questionnaire itself: 40 of 68 in the business version, 41 of 68 in the expert version), and the attachments you promised are attached or you have stated plainly that there will be none.
If the answers are so perfunctory that we cannot work with them, we tell you within 1 business day and name exactly what is missing. Until then the period does not run. And the reverse rule, so this cannot be dragged out: if we have not written to you within 1 business day, the questionnaire is considered complete and the period has started.
6.2.3. The document reaches you before the call. The calendar shows only slots by which the analysis will be ready, so you cannot book earlier than the deadline.
6.2.4. Results call: 30 minutes, optional. You choose the time from the open slots. If you cannot make it, let us know and we will reschedule. If the second slot is also missed without notice, the call is considered held. You keep the document in any case. If you do not book at all, that changes neither the timeline nor the price.
6.3. Vera setup and the AI Visibility term. Below is how the period is counted for each of these two products.
6.3.1. Per-unit AI employee setup: within 24 hours of our receiving the signed truth sheet. The period (24 hours) starts at the moment both conditions are met: the setup fee has gone through, and you have given us everything for the agent passport (you have filled in and signed the truth sheet): how to greet callers, the fact list (prices, hours, addresses, services), required actions and prohibitions, and, for the Sales Rep, also the full script (section 3.4.2). The period ends at go-live. If you take the Sales Rep without your own script (section 3.4.2), its period starts when you approve in writing the script we built from the diagnostic’s findings. Time during which the passport or the test-call results are with you for approval does not count toward the period (section 6.4). If within 3 business days after we send the test-call results you have not replied or named anything to fix, the results are considered approved. The passport is not approved this way: only by your email. If the Sales Rep is added later under the step-by-step option, its period is counted the same way, separately, from its payment.
6.3.2. AI Visibility: 90 calendar days. The count starts on the day you approve the list of questions in writing (section 6.1). The second measurement and the report are due on day ninety. If we were waiting for a reply or access from you (section 6.4), the day of the second measurement moves by the same number of days. Until the list of questions is approved, the period does not run and work has not started.
6.4. Delays on your side move the deadline. If we are waiting for a reply, materials or access from you, the period stops for the entire waiting time and resumes on the next business day after we receive it. We are not “imposing a penalty”; we simply do not count time during which there was nothing to work with.
6.5. If you have not submitted the questionnaire (for AI Visibility, have not approved the list of questions; for Vera, have not provided the materials for the agent passport) within 60 days after payment and do not respond to two reminders from us, we may close the order and refund your money in full (for Vera, the setup fee, section 7.8). We had not started work, so we refund everything.
6.6. The timelines in this section are our obligation. If we miss them through our own fault and have not agreed a new deadline with you, you may demand a refund under section 7.6.
7. Refunds
7.1. The simple rule. Until we start work, we refund everything. Once we have started, there is no refund, because the document is already being made and our time has already been spent. The exceptions are sections 3.3.3, 3.4.9, 3.4.10 and 7.6; for Vera, the full picture is in section 7.8.
7.2. What counts as the start of work. Exactly what section 6.1 says: for the diagnostic, the moment we receive your completed questionnaire; for AI Visibility, the written approval of the list of questions; for Vera, section 6.3.1. One piece of evidence for each case: the timestamp in the form-intake system or the approval email, which we will show you. Neither a verbal conversation, nor our internal notes, nor the mere passage of time counts as the start of work. The “We’re on it” email confirms this moment but does not move it.
7.3. Before that moment you may cancel without giving a reason, simply by emailing support@businessinteldna.com. We refund 100% by the same method you paid with, within 5 business days (how long it takes to reach your account depends on your bank, usually another 5–10 days). We do not deduct the payment processor’s fee from the refund: that is our cost, not yours.
7.4. After that moment, for the diagnostic, no refund is made: the document is already being created for you and cannot be reused. In return you receive, in any case, what you paid for: the document and the analysis. For AI Visibility and Vera, refunds after work has started are made only in the cases in sections 3.3.3, 3.4.9, 3.4.10 and 7.6 and under the rules of sections 7.5 and 7.8.
7.5. AI Visibility. Until you approve the list of questions (section 6.1), and during the 48-hour entry screen (step 0 of section 3.3.3), we refund the full $1,500. Once the diagnostic PDF is delivered, its $500 is not refunded; the $1,000 for 90 days of work is refunded under the condition in section 3.3.3 (if on day ninety no engine names you consistently) and under section 7.6. If you stop the work midway, we hand over everything already done, and there is no refund for a quarter that has started, except in the cases in sections 3.3.3 and 7.6.
7.6. If we are at fault. If we miss a deadline through our own fault by more than 5 business days and have not agreed a new one with you, or do not deliver the work at all, you are entitled to a refund of the full amount for that product, regardless of sections 7.2 and 7.4. For the per-unit AI employee, only the setup fee is refunded under this section; the subscription is not refunded (section 7.8).
7.7. Disputing a charge with your bank. If you believe your money should be returned, write to us first. In a bank dispute, we will provide the payment system with exactly the documents this section refers to: the terms you accepted with a timestamp, the record of receipt of the questionnaire, the “We’re on it” email, and the document delivered to you. For the per-unit AI employee: the agent passport you approved, the call log and the transcripts. For AI Visibility: the list of questions you approved, the approval email, and the saved answers from both measurements.
7.8. Per-unit AI employee. The setup fee is refunded in full until the setup period has started (section 6.3.1); no subscription is charged before go-live (section 4.8). After that the setup fee is not refunded, except in two cases: section 7.6 (we missed the deadline or did not deliver the work) and the process guarantee (sections 3.4.8 and 3.4.9). The subscription is not refunded: it pays for a month of the employee’s work, except in the cases in section 3.4.10. You can cancel it at any time (section 3.4.6).
8. What we guarantee and what we do not
This is the most important section of the contract. It repeats what the pages for our products say in the blocks about guarantees and about what we do not promise, and adds to it.
8.1. What this work is for.
The work is done so that, once our solutions are launched and our recommendations are followed, the flow of clients and sales grows and costs go down, by removing chaos from operations and putting AI employees in place. This is the direction of the work, not a guarantee of a specific result (section 8.7). For experts and practitioners it sounds like this: you become visible and stop selling yourself on price.
The money comes from two places: more sales or lower costs. When a client sees what sets you apart before they see your price, you close more of the people who already found their way to you, and sales grow. When there is less chaos in your processes and AI employees are working, costs go down. We work on both.
8.2. The condition under which this goal is achievable. It applies only where our solutions have been launched and our recommendations have been followed. If the solutions have not been launched or the recommendations have not been followed, the goal in section 8.1 does not apply. This is not a matter of interpretation but an express condition.
8.3. What we are responsible for. The method, the speed, and the fact that the work is done and launched. That is: an analysis that is genuinely about your business rather than generalities; the timelines in section 6; a system that is built and working rather than described on paper. For AI Visibility, also the term and the refund condition in sections 3.3.3 and 3.3.4. For the per-unit AI employee, also that it works according to the agent passport you approved: the process guarantee and the promises, sections 3.4.8–3.4.10.
8.4. What we do not and will not promise.
- No specific numbers. Not “+30% revenue in a month,” not “100 clients a month,” not any other percentage, amount or count. No one can honestly promise a specific number within a specific time.
- No timeline for results. We state the term of our work (section 6), not the time by which your sales will grow.
- How much things grow does not depend on us alone. It depends on you, your market and your customers.
- We do not guarantee search rankings, reach, impressions, inclusion in AI engines’ answers (for AI Visibility, our responsibility is the refund condition in section 3.3.3), the behavior of third-party platforms (Google, Meta, Yelp, Instagram, Telegram or any others), or decisions of third parties.
- The diagnostic gives clarity and an order of work. A human decides and launches. If you expect something to change on its own after you pay, it is better not to pay. We say this before you pay, not after.
- The AI employee does not guarantee sales. The process guarantee (section 3.4.8) is about the Receptionist and the Sales Rep working according to the passport, not about how many calls turn into appointments, meetings and payments.
8.5. We do not give legal, tax, accounting, medical or investment advice. Everything we deliver is business recommendations. Compliance with the laws and rules of your niche (advertising, licensing, requirements for handling patient and client data) remains your responsibility.
8.6. If the website and the contract differ. If what is promised on our product pages (Vera, AI Visibility, Deep Diagnostic) and on the home page is broader than this document, what the page promises applies. If the page promises less, this document applies. Archived pages that are hidden from search and not linked from the home page create no obligations. We have tried to make sure there are no differences at all.
8.7. What can be claimed under section 8.1. Section 8.1 describes the direction of change and what the work is done for. Our contractual obligations are limited to section 8.3: the method, the timeline and the fact of launch; for AI Visibility, also the term and the refund condition (sections 3.3.3 and 3.3.4); for the per-unit AI employee, also the process guarantee and the promises in sections 3.4.8–3.4.10. Section 8.1 does not create a separate monetary claim and is not a guarantee of any specific commercial result; anything that can be claimed is limited by section 12.
8.8. No other warranties. EXCEPT AS EXPRESSLY STATED IN THESE TERMS AND PROMISED ON THE PRODUCT PAGES (SECTION 8.6), WE MAKE NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE EXTENT PERMITTED BY LAW.
9. Confidentiality (mutual)
This section and the NDA for signature say the same thing. The NDA is needed only by those who need a signed piece of paper.
9.1. This section applies automatically from the moment of payment, to all clients, without a separate signature or a separate request. That is exactly what we mean when we say on our website “we work under NDA” and “an NDA with every client.”
9.2. If you need a separate document for signature, email support@businessinteldna.com and we will send our standard form or review yours. It supplements this section rather than replacing it. If a signed NDA and this section differ on confidentiality, the NDA prevails. In everything else (money, timelines, scope of work, refunds), this contract applies.
9.3. What is confidential. Everything one party learns about the other in connection with the work that is not generally known: your questionnaire answers, your numbers and economics, your owners and partners, descriptions of your clients, your prices and arrangements with contractors, your plans, the recording of the results call; on our side, our methods, prompts, templates, internal documents and prices for specific work.
9.4. What we do and do not do. We use your information only to perform the work under this contract. We do not disclose it to third parties without your consent. We do not use it against you or in relation to anyone else.
Where the line is, so that this promise can be kept: your materials, numbers and documents will not end up in anyone else’s work, whether in texts, examples or analyses. If your competitor comes to us as a client, they will get nothing of what you told us, and vice versa. General professional experience that stays in our heads is not your information: otherwise we would have to forget how we work.
9.5. Whom we may show it to. Only those who need it for the work: the two of us, contractors engaged under section 1.2, and the service providers through which the work physically runs: hosting and forms, the email service, the payment system, calendar and video calls, AI services. We choose services that have an obligation not to disclose what is passed to them, and we pass them only what the work cannot be done without. The full named list is in the Privacy Policy.
9.6. About AI, plainly. Part of the work is done with artificial intelligence systems. The Work List (while it is available) is written by a model. When preparing the diagnostic, the full text of your questionnaire is processed through AI services, and research on your niche and on the competitors you name is done through search.
We pay the AI services to which we send the text of your questionnaire as commercial customers, and we work in a mode in which what we send is not used to train models. Models are not trained on your materials.
Separately: the “dictate” button in the questionnaire uses your browser’s speech recognition; the audio goes to your browser’s provider (for Chrome, that is Google). If you want to avoid this, type your answers.
If any of this does not work for you, say so before you pay, and we simply will not take your money: the diagnostic cannot be put together without AI, and we have no workaround. If you have already paid but we have not yet started work (section 6.1), we refund everything in full.
9.7. What is not confidential. These rules do not apply to information that:
- was already generally known, or became so through no fault of the receiving party;
- the party had before it was disclosed to it, and can show this;
- was lawfully obtained from a third party not bound by a duty of confidentiality;
- was independently developed by the party without using the other party’s information.
9.8. Legal requirements. If a party is required to disclose information by order of a court or government authority, it does so, but first notifies the other party, unless the law prohibits such notice, so that the other party has time to protect its interests. And it discloses only what is required.
9.9. Term. The duty of confidentiality applies throughout the work and for 3 years after the day the work ended (section 6.1). For information that qualifies as a trade secret under Wyoming law, it applies for as long as the information remains a trade secret.
9.10. We do not ask for access. We do not need, and do not request, access to your bank accounts, payment data, accounting or customer database. The diagnostic is based on what you tell us and on public sources. This rule applies to the diagnostic, to AI Visibility and to Vera. The only thing involving a CRM is connecting Vera to your CRM; it is part of setup (section 3.4.5) and is done at your choice, through a webhook, Zapier or an integration: you give us an intake address or your CRM’s token, and we only write call records into it (who called, why, what was promised, a link to the conversation). We do not read data from your CRM and do not do two-way synchronization.
Separately: do not send us exports of your customer database, employee lists, health information about specific people, card or account numbers, logins, passwords or ID document numbers. They are not needed for the work. The exception is what Vera needs under section 3.4.1 (the name, email and visit date of people who are to receive a review request) and the call transcripts on her line (section 9.11): these come to us intentionally and only for that work. If anything else on this list reaches us by accident, let us know and we will delete it and confirm by email.
9.11. Channels we get access to. For Vera and AI Visibility to work, we need to be where communication happens or where people write about you: your phone line (forwarding to Vera), the inquiry form on your website, your Google Business Profile (we are added as a manager; access can be removed with one click at any time), and, for AI Visibility, your website, with your consent (section 3.3.5). We get access only to these channels, only to those you name yourself, and only for the duration of the work. This is not access to your accounts, payment data or customer database; you do not give us those. As to your CRM, we only write call records into it, if you chose to connect it (section 9.10).
Through these channels, correspondence with your customers reaches us: names, contact details and what they write to you. We do not export your database or your correspondence as a whole; we keep only what is listed in this section and use it only to run the product you ordered. For inquiry replies and review requests, we receive the name, email and visit date of people who left their email on your website or whom you named to us: we use them only to send those emails and to show you a report. You are responsible for having the right to pass this data to us. Exactly what is passed, and how much, is recorded in the agent passport. You may revoke any access at any time; if some part of the work then becomes impossible, we will tell you right away. All access is removed on the day the work ends, or earlier if you say so. We keep this data no longer than needed to send the emails and show you the report, and in any case no longer than the period in section 9.13; at your request we delete it under the rules of that section.
For the per-unit AI employee, the channel is your phone line: calls reach the employee by forwarding from your number. We receive call transcripts and what callers themselves provide: name, phone number, email. We do not save the audio of calls, only the transcripts. Transcripts are needed for two things: to send you an email after each call and to check the work under the process guarantee (section 3.4.8). We keep transcripts for 24 months from the date of the call, and delete them earlier at your request under the rules of section 9.13; if you ask us to delete them earlier, there will be nothing left to check for the deleted calls. On the day the employee is switched off, we switch off everything on our side; you remove the forwarding from your number.
9.12. If something leaks. If we learn that your information has leaked or gone to the wrong place, we will write to you within 72 hours of the moment we ourselves learn of it. In the first email we will tell you what we know at that point; the picture will most likely be incomplete. After that we will write as we find out what exactly was affected. We will not stay silent and spend a month looking into it. You do the same with respect to our information.
9.13. Retention and deletion. We keep your materials for 3 years from the date the work on the relevant product ended (section 6.1); this is needed for record-keeping and in case of a dispute. At your written request we delete them earlier: within 30 days from our working storage, and within the same period we send a deletion request to the services where the data is stored. After that their own timelines apply, which we cannot influence. Call transcripts are kept under their own rule: 24 months from the date of the call (section 9.11). Our contractors’ backups are overwritten on their own; anything that remains there stays confidential under this section. A copy of the questionnaire stays in your own browser until you click “Clear all answers”; only you can erase that copy. Details are in the Privacy Policy.
9.14. We do not vouch for accuracy. Neither party is responsible for the completeness and accuracy of what it has shared. We work with what you have given us and do not verify it separately.
9.15. Urgent relief. If information is already leaking, money will not fix it; stopping the leak matters more. Therefore either party may ask a court to prohibit further disclosure (injunctive relief), in any court of competent jurisdiction, not only in Wyoming, and without posting a bond. This is in addition to, not instead of, damages.
9.16. Notice under U.S. federal law. An individual cannot be held liable for disclosing a trade secret if the disclosure is made in confidence to a government official or an attorney solely for the purpose of reporting a suspected violation of law, or in a document filed in a lawsuit under seal (18 U.S.C. § 1833(b)).
9.17. Your customers’ data. We process the data of people who call your AI employee or submit inquiries on your website on your behalf and only for your work: you make the decisions about it, and we act on your instructions (in the terms of U.S. state privacy laws, a service provider or processor). We do not sell it, share it for advertising, use it for our own purposes, or combine it with other data. If such a person contacts us directly asking to see or delete their data, we will forward the request to you and help you fulfill it. What exactly we receive and how long we keep it: sections 9.11 and 9.13 and the Privacy Policy.
10. Who owns the results
10.1. Everything we have built specifically for you is yours. This includes: the statement of what sets you apart and your business DNA, the client DNA, the gap map, the competitor review, the AI growth points, the diagnostic PDF, the recording of the results call (if you asked for one), and the texts and new website under AI Visibility. For Vera, the complete agent passport is yours, including the truth sheet; what remains ours is set out in section 10.7.
10.2. Rights pass to you when the work on the relevant product has been paid for in full. For the diagnostic, that is the moment of payment, that is, before work even begins. For AI Visibility, it is the moment the quarter is paid for.
10.3. You may use the results however you like: change them, add to them, show them to your people and to other contractors, and use them after you stop working with us. No restrictions and no repeat fees for use. The one thing you may not do is resell our method as a service you provide to others.
10.4. What remains ours. Our method, our templates and document structures, our prompts, internal tools, accumulated know-how, and everything we created before and outside our work with you. We apply these to other clients as well. This contract transfers no other rights in our intellectual property.
10.5. Third-party components. The work may use third-party components: fonts, stock photos, the platforms on which AI employees run. These are used under their own licenses; we will tell you which ones on request. The platforms on which AI employees run are operated and paid for by us; see section 10.7.
10.6. Your materials. Everything you have given us remains yours. You confirm that you have the right to give it to us and that doing so does not infringe anyone else’s rights.
10.7. Whose services it runs on. The platforms on which your AI employees run are operated by us. Calls and minutes are included in the subscription: you do not need to pay the platform separately or open an account there. What is yours stays yours: your phone number, domain, email, and your profiles on Google and other platforms. The agent passport is yours; if we part ways, we hand it over to you in full. How the employee works internally (instructions, prompts, tools and platform settings) remains ours under section 10.4: if we part ways, we switch it off rather than hand it over.
10.8. We may mention the fact that we work with you and show a case study only on the terms of section 5: with your written consent and in the form you have approved. Without such consent, your name does not appear anywhere.
10.9. If third parties come to us because of your materials. If a claim is made against us because of something you gave us (for example, about rights to text, photos or someone else’s content), you reimburse us for the costs of resolving it, including reasonable attorneys’ fees. We notify you of such a claim promptly, let you control its defense, and do not admit the claim without your consent.
The same applies if a claim is made against us by a person who called your AI employee and the claim arises from the facts, required actions or prohibitions in the passport you approved, from the rules of your niche, or from how your phone line is set up. If the claim arises because the employee departed from the passport (section 3.4.8), you are not required to reimburse it.
11. Your obligations
11.1. Without your answers the work is physically impossible. We do not take access to your systems, which means all the material comes from you. This is not a formality: the quality of the diagnostic depends directly on how substantively the questionnaire is filled in.
11.2. You agree:
- to fill in the questionnaire honestly and substantively;
- to answer our follow-up questions within 2 business days;
- for AI Visibility, to approve the list of questions by email, consent to the website review and add us as a manager of your Google Business Profile when we ask; for Vera, to provide the materials for the agent passport on time;
- to designate one person whose word is final. If you are not the only one making decisions (a co-owner, a hired manager, a spouse), say so right away: it changes both the timelines and the substance of the work;
- not to present as your own anything that does not belong to you;
- to confirm that you are not subject to U.S. sanctions, are not acting on behalf of a person subject to U.S. sanctions, and that payment is not coming from a country subject to U.S. sanctions restrictions. If this turns out not to be the case, we may terminate the work immediately and refund the money for the unperformed part;
- for the per-unit AI employee, to keep the agent passport truthful: when your prices, hours, addresses or services change, let us know (section 3.4.4).
11.3. If we are waiting on you, the clock stops (section 6.4). If we wait longer than 60 days and you do not respond to two reminders, we may close the work and hand over to you what we have done so far. As for the money: if work had not started (section 6.1), we refund everything (for Vera, under section 7.8); if it had started, there is no refund, but you receive everything that was done.
11.4. You are responsible for what you do with our recommendations. We provide the direction and the tool; you launch and manage.
12. Limitation of liability
This section does not relieve us of responsibility for the work; it limits the size of monetary claims.
12.1. The cap. The most you can claim from us is what you paid us for the product the dispute is about. Nothing beyond that amount. For the per-unit AI employee, the cap is the setup fee plus the subscription fees paid for the 3 months before the claim.
Separately, about what is free. A free diagnostic is done with the same scope and quality as a paid one (section 3.2.2); it is not cut back in any way. Only the monetary limit differs: for the free diagnostic, the cap of the product with whose payment you received it applies. The free tools (visibility check, Work List) are provided “as is”: they are machine-generated, we charge nothing for them, and we have no monetary liability for them.
12.2. We are not liable for lost profits, lost revenue, loss of clients, loss of data, reputational harm or any other indirect losses, even if we were advised that such losses were possible.
12.3. We are not liable for the results of your business decisions or for the conduct of third parties: platforms, directories, your contractors, your clients, and people who call your AI employee. This section does not cancel the obligations under the process guarantee and the promises (sections 3.4.8–3.4.10).
12.4. Confidentiality, separately. If section 9 is breached intentionally, the cap in section 12.1 does not apply at all. If it is breached through negligence, the cap for that case is three times the cap in section 12.1.
12.5. What these limitations do not cover at all. Intentional acts and gross negligence; fraud; our obligation to refund money under section 7, the process guarantee and the promises (sections 3.4.9 and 3.4.10); any liability that cannot be limited under Wyoming law (put simply, if the law says something must be answered for in full, it will be).
12.6. If a court decides that any of these limitations is too broad, it applies to the extent the law allows, and the rest of the contract continues to work.
12.7. Deadline for claims. A claim under this contract must be brought within one year from the day it became clear, or should have become clear, that there was a basis for it. If the law provides otherwise, the law applies.
12.8. Force majeure. Neither party is liable for a delay caused by something it cannot control: a natural disaster, war, a prolonged outage of communications or platforms, serious illness of the person performing the work, or government action. The affected party notifies the other as soon as possible, and the deadline moves by the duration of the disruption. If the disruption lasts longer than 30 days, either party may terminate the work, and money for the part not yet started is refunded.
For the per-unit AI employee, the part not yet started means setup, if its period has not yet started (section 7.8), and subscription months that have not yet begun; the subscription fee for a month that has already started is not refunded (section 3.4.6). For the purposes of the process guarantee (section 3.4.8), a failure of the platform on which the AI employee runs is not force majeure.
13. How to end the work
13.1. You may end the work at any time by emailing support@businessinteldna.com. Money is refunded under section 7. The subscription for the per-unit AI employee can also be canceled at businessinteldna.com/cancel; the employee works until the end of the paid month (section 3.4.6).
13.2. We may end the work, refunding everything you paid for the part not yet started, if: it is impossible to work with your materials; you have been out of contact for more than 60 days; communication has turned into insults or threats; or the work would require breaking the law or would violate section 11.2.6. For the per-unit AI employee, the part not yet started is determined the same way as in section 12.8: the subscription fee for a month that has already started is not refunded. The subscription also ends if you do not agree to a new price (section 3.4.6).
13.3. After the diagnostic you are under no obligation to continue. You have no annual contract and no obligation to buy the next product. Nothing renews automatically except Vera’s subscription (section 4.6).
13.4. What survives the end of the work: section 5.3 (case studies and your veto), section 7 (refunds), section 8 (guarantees), section 9 (confidentiality), section 10 (rights to the results), section 11.2.5 (not presenting others’ property as your own), section 12 (liability) and section 15 (governing law and disputes).
14. How we communicate
14.1. The main channel is email. Our address is support@businessinteldna.com. Yours is the one you provided at payment or in the questionnaire. Keep it working: an email sent to it is considered delivered on the next business day. You can change the address simply by writing to us about it.
14.2. Email correspondence has the force of a written document. Approval of the list of questions and the agent passport, deadline changes, permission to publish a case study, a data deletion request, withdrawal of consent: all of this is done by ordinary email. No notary or paper is needed. These terms themselves can be changed for work already in progress only as described in sections 15.7 and 15.9.
14.3. Messengers (Telegram and similar) are for day-to-day questions. Anything legally significant we duplicate by email.
15. Governing law, disputes, changes
15.1. Governing law. Disputes are governed by the laws of the State of Wyoming, USA. Even if you live in another state, Wyoming law still applies.
15.2. Talk first. Before going anywhere else, a party emails the other, describes the substance of the claim and what it wants. The other party has 15 business days to respond. This step is mandatory: almost everything gets resolved here.
15.3. If we cannot agree. The dispute is heard by a state court or a U.S. federal court located in Natrona County, Wyoming. Both parties consent to jurisdiction and venue there. The only exception is urgent injunctive relief under section 9.15, which may be sought in any court of competent jurisdiction. If both parties wish, the dispute may be referred to arbitration or mediation, but neither party can compel the other to do so.
15.4. Jury trial waiver. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL in any dispute.
15.5. Costs. The prevailing party in a dispute may recover reasonable attorneys’ fees and court costs from the losing party.
15.6. Language. These terms are published in two languages: Russian (businessinteldna.com/terms) and English (businessinteldna.com/en/terms). Both versions are the full text of the contract, not a summary. The version that applies to you is the one in the language in which you accepted the terms: if you paid from a page in English, through an English payment link or by an invoice in English, the English version applies; in all other cases, the Russian version applies. If a translation is needed for a court, the party bringing the matter to court provides it.
15.7. Changes to the terms. We may change these terms for future clients. The version that applies to you is the one you accepted by ticking the checkbox at payment or by email in reply to an invoice (section 2.1); a new version does not apply to you retroactively. If we want to change the terms of work already in progress, we will write to you and do so only with your consent and in writing. There is one exception: the subscription price, which changes under the rule in section 3.4.6.
15.8. Version. Each version has a number and a date, shown in the header. The current one is version 2.2, prepared October 16, 2026, effective on the date of publication on the website. Earlier versions: version 2.1 (in effect from October 6, 2026), version 2.0 (in effect from October 5, 2026), version 1.1 (from September 14, 2026) and version 1.0 (from September 8, 2026); they apply to those who accepted them (section 15.7). We keep an archive of earlier versions and provide it on request.
15.9. Entire agreement. These terms, together with the Privacy Policy, a signed NDA (if any) and the promises on the product pages (section 8.6), are everything we have agreed. Oral promises have no force. Our explanations by email and in messengers help you understand the terms but do not change or supplement them. The terms for your work can be supplemented or changed only by an email that states expressly which section is changed and how, and only with the consent of both parties (section 15.7). If the documents conflict: on confidentiality, a signed NDA prevails; on processing of personal data, the Privacy Policy prevails; on everything else, these terms prevail.
15.10. Severability. If any section turns out to be invalid, the rest continue to apply, and the invalid section applies to the extent permitted.
15.11. Assignment. You may not assign this contract to another person without our written consent. We may assign it in connection with a sale or reorganization of the business, with notice to you; your rights are not diminished as a result.
15.12. No waiver. If a party does not insist on a term on one occasion, that does not mean it has waived that term for good.
