**Mutual. Date: ____________, 20___**
Version of October 6, 2026 (to Terms of Service 2.1).
1. Who is signing
We (the Provider): Wealthboosterpro LLC (DBA Business Intelligence DNA), a limited liability company registered in the State of Wyoming, USA. Address: 5830 E 2nd St Ste 7000, Casper, WY 82609, USA. Email for notices: support@businessinteldna.com.
You (the Client): [CLIENT NAME OR CLIENT COMPANY NAME], [ENTITY TYPE AND STATE OF REGISTRATION, if a company]. Address: [CLIENT ADDRESS]. Email for notices: [CLIENT EMAIL].
Below we say “we” and “you,” and together “the parties.”
This agreement is mutual: each party learns things about the other that it does not want to get out, and each party is equally responsible for keeping quiet.
1.1. Why sign this if everything is already “under NDA.” Even if you do not sign it, everything written here about confidentiality applies to you automatically from the moment you pay: section 9 of our Terms of Service (businessinteldna.com/en/terms) has the same force. That is why our website says “an NDA with every client.” A separate signed document is only for those who need one for their own internal procedures, and here it is.
1.2. Which document prevails if they differ. If our documents differ: on confidentiality a signed NDA prevails, on the processing of personal data the Privacy Policy prevails, and on everything else the Terms of Service prevail. How your data moves between services is described in the Privacy Policy (businessinteldna.com/en/privacy).
1.3. When the work begins and when it ends. The same definition appears in the Terms of Service, and the periods in sections 8 and 9 of this agreement are counted from it.
- The work has begun: for the diagnostic, at the moment we received your completed questionnaire; for AI Visibility, when you approved the list of questions in writing; for Vera, on the first day of the go-live period (section 6.3.1 of the Terms of Service). The time is recorded by the form system or by a saved email, and we can show it. For the diagnostic, no later than the next business day we send you a “We’ve started” email; it confirms that moment, it does not create it.
- The work has ended on the day we delivered the last document for your project to you (for the diagnostic, the day the PDF was sent: the call to discuss the results may come later and does not change the date); for AI Visibility, on the day we sent the report of the second measurement; for Vera, on the day the employee is switched off.
- If the work never began, the periods in this agreement are counted from the date of signing.
2. What counts as confidential
2.1. Yours
Everything you tell us so that we can do the work, in particular:
- your questionnaire answers, all of them, including the money section: how much you take home, your average sale, the share of repeat customers, and whom you pay and how much for outside contractors;
- the ownership structure, partners, shares, who makes decisions, including family circumstances if you mentioned them;
- your customers: who they are, how they are described, what they pay for, why they leave;
- prices, price lists, product economics, plans, goals, budgets;
- processes, procedures, copy, scripts, correspondence and files you have given us;
- the recording of the call to discuss the diagnostic results;
- the very fact that you came to us, if you ask us not to mention it.
2.2. Ours
Everything you see from inside our work:
- our method: how the diagnostic is built, what goes into the Business DNA and the Customer DNA, how the gap map is put together;
- prompts, instructions for models, internal agents and their logic;
- our working materials on your case that we do not hand over to you: drafts, notes and internal versions of the analysis;
- the makeup and design of our AI employees: what roles they have, how they are built, what is inside;
- our prices and terms that are not publicly available.
2.3. The finished document is yours
The finished document for your case and the recording of the call to discuss the results (if you ordered it) are yours. You use them in your business however you like, as much as you like, and without our permission, including showing them to your own people and to other contractors. There is one thing you may not do: resell our method as a service you provide to others. This agreement transfers no other rights in our intellectual property.
What is closed is not the result but our kitchen: how it is made.
3. What does not count as confidential
These rules do not apply to information that:
- was already known to everyone, or became so through no fault of the receiving party;
- the party had before it was disclosed to it, and the party can show this;
- was lawfully received from a third party not bound by a duty of confidentiality;
- was developed by the party independently, without using the other party’s information.
A separate note on the law. If a party is required to disclose information by order of a court or a government agency, it does so, but first it warns the other party, unless the law prohibits the warning, so that the other party has time to protect its interests. And it discloses only what is required.
4. How we handle your information
4.1. One purpose. We use it only to do the work we agreed on. For nothing else.
4.2. Not against you, and not with regard to anyone else. Your materials, numbers and documents will not end up in anyone else’s work: not in copy, not in examples, not in analyses. If your competitor comes to us as a client, they will get nothing of what you told us, and vice versa. General professional knowledge and experience that stay in our heads do not count as your information: otherwise we would have to forget how we work. Everything that is specifically yours stays yours alone.
4.3. Which people see it. Within our company, only the founders, Andrii Zhyla and Maryna Zhyla, see your materials. We have no employees. If we hire any, they will get access only to what is needed for your work and will be bound by the same obligations.
The diagnostic and the call to discuss its results are handled personally by the two of us; we do not hand the analysis or the conversation with you over to contractors. When setting up Vera and for AI Visibility (for example, when we build a new website), we may bring in a contractor for technical work: page layout, platform setup. We tell you about each such person in advance and sign the same obligations with them, and we are responsible to you for everything.
4.4. Which services the work runs through. The work runs through third-party services: email, website hosting, a payment service, a calendar and video calls, AI models. What you send us passes through them. We choose services that have an obligation not to disclose what is passed to them, and we give them only what the work cannot be done without. The full list, by name, is in the Privacy Policy.
A separate note on AI: we use models through commercial (API) access, under which the provider does not use what is sent to it for training. Models are not trained on your materials.
4.5. We publish nothing. We do not publish anything of yours, show it in examples, talk about it in presentations or use it in advertising without your written consent. The rule on case studies and testimonials is in section 7.
4.6. How we store it. We keep your materials closed on our side: password-protected access, on work computers; we do not put them in open folders and do not forward them to anyone who does not need them.
4.7. The mirror: the same on your side. You use our information only for working with us; you show it only to those of your people and contractors who truly need it, and you are responsible for them as for yourself; you do not publish or retell our methodology, prompts and internal materials; you store them carefully.
4.8. We do not vouch for accuracy. Neither party is responsible for what it has told the other being complete and accurate. We work with what you gave us and do not verify it separately.
4.9. If something leaks. If we learn that your information has leaked or ended up in the wrong place, we will email you within 72 hours of the moment we ourselves learned of it. In the first email we will tell you what we know at that point; most likely the picture will be incomplete. After that we will keep writing as it becomes clear what exactly was affected. You do the same with respect to our information.
5. Access to your systems
5.1. We do not need and do not ask for access to your bank accounts, accounting, CRM or customer database. We work from what you tell us yourself and from public sources.
5.2. Do not send us lists or personal data of your customers and employees, health information about specific people, card and account numbers, logins, passwords or ID document numbers; they are not needed for the work. The exception is what Vera needs to work: the name, email and visit date of people who are to receive a reply to their inquiry or a review request (section 3.4.1 of the Terms of Service), and transcripts of calls on Vera’s line. You give us these deliberately and only for this work. If anything else on this list reaches us by accident, we will delete it as soon as we notice, confirm by email, and not use it.
5.3. About Vera and AI Visibility. For Vera to answer calls and inquiries, and for us to manage your Google profile, we need access to that specific channel, and only to it. This is not the same as access to your accounts, CRM and database: we still do not ask for those. You grant each such access separately and in writing, for a specific channel, and you can revoke it at any time. Correspondence with your customers reaches us through these channels. We do not export your database or your correspondence as a whole; we store only what is listed in section 5.2 and in the Privacy Policy, and we use it for nothing except the work of Vera and AI Visibility. All access is removed on the day the work ends, or earlier if you say so.
5.4. The platforms your AI employees run on are managed by us. Conversations and minutes are included in the subscription: you do not need to pay the platform separately or open an account there. What is yours stays yours: your phone number, domain, email, and your profiles on Google and other platforms. The agent passport is yours; if we part ways, we hand it over to you in full. How the employee works inside (instructions, prompts, tools and platform settings) stays ours (Terms of Service, section 10.4): if we part ways, we switch it off rather than hand it over.
6. Recording the call
6.1. We record the call to discuss the diagnostic results only with your consent. The recording is for you; you take it, and it is yours just like the document.
6.2. Recording starts only after you consent: in the first minute of the call we ask out loud, and your answer stays in the recording itself. If you say “no,” we do not record, and this does not affect the content of the conversation. By signing this agreement you give advance consent to the recording of calls between us, but we will still ask out loud.
6.3. If someone else from your side will be on the call, let us know in advance, and we will ask for their consent too. In some US states recording is lawful only with the consent of all participants.
6.4. We keep the recording closed under this agreement and do not show it to anyone without your written consent (section 7). At your request we delete it within 30 days, separately from everything else if you ask us to delete only the recording.
7. Case studies and testimonials
We create and publish examples of our work. There is one rule, and it does not change depending on whether you paid or received the diagnostic as a gift.
- Nothing about you is published without your written consent. An email or message saying “yes” counts as written consent. Silence does not count as consent.
- We show you the text and images before publication. We publish exactly the version you approved.
- You decide what may be named and what may not: your name, company name, city, niche, numbers, screenshots. You can agree to an anonymized case study: “a manufacturing company in Florida,” without a name.
- If you received anything for a testimonial or a case study (a discount, free work, a gift), we say so plainly next to the publication. The US Federal Trade Commission’s rules on endorsements (FTC Endorsement Guides) require this. You see the wording of the disclosure together with the text before publication.
- We ask for a testimonial once, after the work has ended, and remind you once. This is not a payment or an exchange: paid work, gifts and refunds do not depend on a testimonial. Consent to a testimonial is not consent to any text: items 1 through 3 apply here too, and the veto over the content stays with you. If you do not want to, nothing changes: we will not demand money and will not take back the work. We simply will not have the right to tell your story.
- Consent can be withdrawn. Write to us, and we take the material down from our own channels within 10 business days. Anything we published while consent was in effect does not retroactively become a breach, but we will take it down. We cannot remove it from other people’s reposts or from search engine caches, and we tell you so honestly.
8. How long this applies
- The agreement takes effect on the day it is signed and also covers everything we have already told each other before: in correspondence, on calls and in the questionnaire.
- The duty of confidentiality lasts 3 years from the date the work ended (section 1.3).
- For information that is protected as a trade secret under Wyoming law, the duty lasts as long as it remains a trade secret, even beyond three years.
9. What happens when the work has ended
9.1. What we definitely delete. At your written request, within 30 days we delete your materials from our working storage (computers, cloud drive and email folders) or return them to you, as you ask. Without a request, we keep them for no longer than 3 years from the date the work ended (the Privacy Policy says the same) and then delete them ourselves.
9.2. What goes to service providers. Where data is held by service providers (website hosting, the email service, the AI provider, video calls), we send them a deletion request within the same period. After that their own timelines apply, and we cannot influence them.
9.3. What cannot physically be reached. Contractors’ backups are overwritten on their own. Anything that remains there stays closed under this agreement.
9.4. What we keep in any case. Only the documents about the transaction itself: the text of the contract, invoices and correspondence about what was agreed, plus the minimal payment record required by tax law. Your working materials are not part of this.
9.5. Your side. A copy of the questionnaire stays in your own browser until you click “Clear all answers.” Only you can erase that copy; we have no access to it.
9.6. What stays yours and ours. The finished document and the recording of the call to discuss the results stay with you forever. Our method and internal materials stay ours.
9.7. After the work has ended, the agreement continues to apply in full within the periods in section 8.
10. Notices
Formal notices under this agreement go to the email addresses given in section 1. A notice is considered delivered on the next business day after it is sent. You can change your address simply by writing to tell us.
Consent, a deletion request and a withdrawal of consent are ordinary emails to that address: no notary and no paper are needed. Signatures of both parties are needed only to amend the agreement itself.
11. Governing law, disputes and other terms
11.1. Any dispute is decided under the laws of the State of Wyoming, USA (meaning it will be decided under Wyoming law specifically and will not be shifted to the law of another state).
11.2. First correspondence, then court. Before going to court, a party writes to the other at the email address in section 1, describing the substance of the claim and what it wants. The other party has 15 business days to respond. This step is mandatory. If the parties do not reach agreement, the dispute is heard by a state court or a US federal court located in Natrona County, Wyoming. Both parties consent to jurisdiction there specifically. The exception is urgent injunctive relief under section 11.3: a party may seek it immediately and in any court of competent jurisdiction.
11.3. Exception: urgent injunctive relief. If information is already leaking, money will not fix the problem: stopping the leak matters more. Therefore either party may ask a court to prohibit further disclosure (injunctive relief: a court order that stops the disclosure), in any court of competent jurisdiction, not only in Wyoming, and without posting a bond. This is not instead of damages but in addition to them.
11.4. Jury trial. Both parties waive trial by jury.
11.5. Costs. The party that wins a dispute under this agreement may recover reasonable attorneys’ fees and court costs from the losing party.
11.6. How much can be claimed. If we breach this agreement intentionally, there is no cap on the amount. If through negligence, our liability for that breach is capped at three times the cap in section 12.1 of the Terms of Service: three times the amount paid for the product the dispute is about; for Vera, three times the setup fee plus the subscription paid for the 3 months before the claim. This is the same rule as in section 12.4 of the Terms of Service.
11.7. Notice under US federal law. An individual cannot be held liable for disclosing a trade secret if they did so in confidence to a government official or to an attorney solely for the purpose of reporting a suspected violation of law, or in a document filed in a lawsuit under seal (18 U.S.C. § 1833(b)).
11.8. This agreement does not make us partners, does not create a joint venture, and does not obligate either party to buy, sell or disclose anything to the other or to continue working together.
11.9. Assignment. A party may assign this agreement to someone else only with the other party’s written consent. The exception is the sale of the entire business: in that case the agreement passes to the buyer together with the business and continues to apply.
11.10. Amendments must be in writing and signed by both parties.
11.11. Leniency is not a waiver. If a party does not exercise a right immediately, that does not mean it has waived it.
11.12. If any provision is found invalid, the rest continue to apply.
11.13. This agreement may be signed in two counterparts, including by electronic signature and by scan. An electronic signature is equivalent to a handwritten one.
